1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Zero Point Studio d.o.o. ("Company", "we", "us", or "our") concerning your access to and use of the Transcript API service ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Transcript API is a RESTful API service that provides:

• Extraction of transcripts and captions from YouTube videos
• Cached responses for improved performance
• API key-based authentication
• Credit-based usage metering
• Optional semantic classification features

4. Account Registration

4.1 Registration Requirements

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

4.2 Account Security

You are responsible for maintaining the confidentiality of your password and API keys. You must notify us immediately of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to maintain account security.

5. Credit System and Billing

5.1 Free Signup Credits

New users receive 100 free credits upon registration. These credits expire 90 days after account creation and are non-refundable.

You may purchase additional credits beyond your subscription base allocation:

• Top-up credits are charged at the fixed rate associated with your subscription plan
• Monthly subscribers: Top-up credits expire at the end of your monthly billing cycle
• Annual subscribers: Top-up credits expire at the end of your annual billing cycle
• Base subscription credits renew each billing period

5.4 Credit Consumption

Credits are consumed for each successful API request, with the amount based on the endpoint and request complexity. Credit consumption rates are detailed in our API documentation. Credits are deducted in real-time only when an API request is successfully processed.

5.5 Payment Processing

All payments are processed securely through Stripe. By subscribing, you agree to:

• Provide valid payment information
• Authorize recurring charges for subscriptions
• Pay all fees and applicable taxes associated with your use
• Accept that prices may change with 30 days' notice

5.6 Billing Disputes

If you believe there is an error in your billing, you must contact us within 30 days of the charge at [email protected]. We will investigate and resolve billing disputes in good faith.

6. API Keys and Authentication

Access to the API requires valid API keys:

• API keys are unique to your account
• You may generate multiple API keys for different applications
• You must keep API keys confidential and secure them properly
• You are responsible for all usage associated with your API keys
• Compromised API keys should be revoked immediately and new ones generated
• Sharing API keys with third parties is prohibited unless explicitly authorized

7. Usage Limits and Rate Limiting

To ensure fair usage and service stability:

• Rate limits are enforced per API key and may vary by plan
• Excessive requests may result in temporary throttling or blocking
• We reserve the right to adjust rate limits with reasonable notice
• Attempting to circumvent rate limits is grounds for account termination

8. Acceptable Use Policy

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or disassemble the Service
• Overload or interfere with the Service infrastructure
• Use automated tools to abuse, spam, or overload the Service
• Resell or redistribute the Service without explicit written permission
• Access data or systems without authorization
• Use the Service to collect personal information without consent
• Transmit viruses, malware, or other malicious code
• Impersonate others or misrepresent your affiliation

Violation of this policy may result in immediate account suspension or termination without refund.

9. Intellectual Property

9.1 Our Property

The Service, including all software, code, designs, trademarks, and documentation, is owned by Zero Point Studio d.o.o. and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service.

9.2 Your Data

You retain all rights to data you submit through the Service (e.g., video IDs you request). However, transcript data is sourced from YouTube and subject to YouTube's terms and applicable copyright laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms during your subscription period.

10. Service Availability

We strive to provide reliable service, but:

• The Service is provided "as is" without guaranteed uptime
• We may perform maintenance that temporarily interrupts service
• Service availability may be affected by factors beyond our control (e.g., YouTube API changes, network issues)
• We do not guarantee that the Service will be uninterrupted, error-free, or secure

We will make reasonable efforts to notify users of planned maintenance.

12. Cancellation and Termination

12.1 Your Right to Cancel

You may cancel your subscription at any time through your account dashboard or by contacting us. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• No further charges will be made
• You will retain access to your credits until the end of the billing period
• Refunds are subject to our Refund Policy

12.2 Our Right to Terminate

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your payment fails or account is past due
• We suspect fraudulent or illegal activity
• Required by law or legal process
• We cease offering the Service

12.3 Effect of Termination

Upon termination, your API keys will be deactivated, unused credits will be forfeited (except as provided in our Refund Policy), and you must cease all use of the Service. Provisions that by their nature should survive termination will remain in effect.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for lost profits, revenue, data, or business opportunities
• Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for failures caused by factors beyond our reasonable control
• We are not liable for third-party services (including YouTube)

14. Indemnification

You agree to indemnify, defend, and hold harmless Zero Point Studio d.o.o., its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness
• Warranties of uninterrupted or error-free operation
• Warranties that defects will be corrected

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Croatia, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Zagreb, Croatia. However, consumers in the EU retain the right to bring proceedings in their country of residence.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original.

19. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Zero Point Studio d.o.o. regarding the Service and supersede all prior agreements and understandings.
